Coal India has taken the next big step in unlocking value from its subsidiaries. Its wholly owned arm South Eastern Coalfields Ltd (SECL) has filed draft papers with market regulator SEBI for a proposed initial public offering, and the size of the planned sale has immediately caught the market’s attention: promoter Coal India plans to offload up to 66.81 crore shares.
Coal India informed the stock exchanges on November 2 that the draft red herring prospectus (DRHP), dated November 1, has been filed with SEBI, BSE and NSE. No price band, rupee issue size or subscription dates have been fixed yet, but the structure of the offer is now settled.
A pure offer for sale, no fresh issue
The proposed IPO is entirely an offer for sale (OFS). That means Coal India will sell up to 66,80,56,100 existing equity shares, each with a face value of Rs 2. No new shares will be issued by SECL itself.
Since there is no fresh issue, SECL will not receive any money from the offering. Every rupee raised will go to Coal India, so investors are buying into an existing operating company, not funding a new expansion plan.
The offer remains subject to approvals and market conditions, Coal India said. SEBI’s observations, a final price band and the subscription timetable all come later.
How big is SECL?
SECL is no small subsidiary. Incorporated in 1985 and headquartered in Bilaspur, Chhattisgarh, it operates mines across Chhattisgarh and Madhya Pradesh and ranks among India’s largest coal producers.
- Production in FY26: 176.29 million tonnes, about 16.94 percent of India’s total coal production, according to a Crisil report cited in the draft papers.
- Share of Coal India output: SECL contributed 22.95 percent of the parent company’s total production in FY26, making it the second largest coal producing subsidiary.
- Geological resources: about 47.55 billion tonnes as of April 1, 2026, roughly 11.50 percent of India’s total coal geological resources.
- FY26 financials: revenue of about Rs 33,000 crore and net income of Rs 4,755 crore for the year ended March 31, 2026.
- First half of FY27: revenue from operations of Rs 16,593.7 crore, up from Rs 15,090.2 crore a year earlier, with profit of about Rs 2,174 crore.
Those numbers explain why the listing is being watched closely: a public listing will put a market price on a substantial slice of Coal India’s business for the first time.

Who is running the issue?
The book running lead managers named in the filing are SBI Capital Markets, ICICI Securities, IDBI Capital Markets and Securities, and Motilal Oswal Investment Advisors. KFin Technologies has been appointed as the registrar to the issue.
Reports citing people familiar with the matter have put the potential size at up to $800 million, but Coal India’s disclosure gave no rupee figure, so treat that estimate as unconfirmed for now.
Part of a wider Coal India listing plan
SECL is the latest step in Coal India’s plan to list its subsidiaries. In September, Mahanadi Coalfields Ltd (MCL) filed draft papers for an IPO to divest a 10 percent stake, and earlier this year Bharat Coking Coal Ltd (BCCL) launched its maiden public offering.
The pattern is clear. Coal India is bringing its large subsidiaries to the market one by one, giving investors direct exposure to individual mining businesses instead of only the parent.
What investors should watch next
Three things will decide how attractive the SECL IPO eventually looks.
- The price band: with FY26 profit of Rs 4,755 crore on revenue of about Rs 33,000 crore, valuation multiples will be the key debate once a band is announced.
- SEBI’s observations and the final prospectus: these will confirm reservations, the final share count on offer, and any risk factors investors must weigh.
- Market conditions at launch: coal prices, power demand and overall appetite for public sector listings will shape subscription, especially from institutions.
Until then, the headline is clear. A 66.81 crore share sale in a profitable coal giant with nearly 17 percent of India’s coal output is now formally on the IPO runway, and the price band is the next update investors will await.
